By accessing or using the SiliTag advertising platform ("Platform"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our Platform.

We may revise these Terms of Service at any time without notice. By using this Platform, you are agreeing to be bound by the then-current version of these Terms of Service.

2. Accounts

To access certain features of our Platform, you must register for an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately if you discover or suspect any security breaches related to your account
• Take responsibility for all activities that occur under your account

3. Advertiser Terms

As an advertiser using our Platform, you agree to the following terms:

3.1. Campaign Creation

You are responsible for creating advertising campaigns that comply with our content policies and all applicable laws. We reserve the right to reject or pause any campaign that violates our policies.

3.2. Payment

You agree to pay all charges associated with your advertising campaigns according to our pricing terms. All payments are non-refundable unless otherwise stated.

3.3. Performance

We do not guarantee specific results or performance metrics for your campaigns. Actual results may vary based on numerous factors beyond our control.

4. Publisher Terms

As a publisher using our Platform, you agree to the following terms:

4.1. Inventory Quality

You agree to maintain high-quality advertising inventory and not to use any fraudulent methods to generate impressions or clicks.

4.2. Ad Placement

You agree to place ads in accordance with our placement guidelines and not to place ads on pages containing prohibited content.

4.3. Payment

We will pay you according to our payment schedule once you have reached the minimum payment threshold. All payments are subject to adjustment for invalid activity.

5. Payments and Fees

Our Platform uses various payment models including CPM, CPC, and CPA. You agree to the following payment terms:

5.1. Advertiser Payments

Advertisers must maintain a positive balance in their account. We may suspend campaigns if account balances are depleted.

5.2. Publisher Payments

Publishers will be paid according to the agreed payment schedule, typically net-30 days after the end of the month in which earnings were accrued.

5.3. Fees

We reserve the right to change our fee structure at any time with 30 days' notice.

6. Prohibited Content

The following content is strictly prohibited on our Platform:

• Adult or sexually explicit material
• Illegal activities or substances
• Hate speech, discrimination, or harassment
• Violent or graphic content
• Misinformation or deceptive practices
• Malware, spyware, or any malicious software
• Copyright-infringing material
• Any content that violates applicable laws

7. Intellectual Property

The SiliTag Platform and its original content, features, and functionality are owned by SiliTag and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, create derivative works of, reverse engineer, or attempt to extract the source code of our Platform without our express permission.

8. Limitation of Liability

In no event shall SiliTag, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. Your access to or use of or inability to access or use the Platform
2. Any conduct or content of any third party on the Platform
3. Any unauthorized access to or use of our servers and/or any personal information stored therein
4. Any interruption or cessation of transmission to or from the Platform
5. Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our Platform

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
